1. Who we are
Keli AI makes Keli, an all-in-one desktop AI app that gives you Chat, Cowork, and Code in one place. Keli itself does not build or host AI models. Instead, we route your requests to third-party model providers through OpenRouter, an AI inference gateway, so you can access a wide range of models — including free ones — from a single app and subscription.
2. Accounts and eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. You're responsible for keeping your account credentials confidential and for all activity under your account. Notify us at support@keli.ai if you suspect unauthorized use of your account.
3. Acceptable use
You agree to use the Services only in ways that comply with these Terms and applicable law. You may not:
- Use the Services for any unlawful, harmful, or fraudulent purpose;
- Reverse engineer, decompile, or attempt to extract the source code of the Keli app, except where the law expressly permits it;
- Use the Services to build or train a competing product;
- Circumvent usage limits, rate limits, or subscription tiers through automated means;
- Interfere with or disrupt the integrity or performance of the Services; or
- Use the Services to violate the acceptable use policies of the underlying model providers accessed through OpenRouter.
4. Your content, model inputs, and outputs
You retain ownership of the prompts, files, and other content you submit to Keli ("Inputs") and, to the extent permitted by the underlying model provider's terms, the responses you receive ("Outputs"). You're responsible for making sure you have the rights to submit any Inputs you share with Keli.
AI-generated Outputs can be inaccurate, incomplete, or inappropriate for your use case. You should independently verify any Output before relying on it, especially for anything involving code execution, financial, legal, medical, or safety-critical decisions.
5. Third-party AI models and OpenRouter
Chat, Cowork, and Code are powered by third-party AI models accessed through OpenRouter. When you use these features:
- Your Inputs are transmitted through OpenRouter to the model provider you (or Keli's automatic fallback) select;
- We enforce Zero Data Retention (ZDR) on this routing, meaning your Inputs are only sent to model endpoints that don't retain your data after generating a response, and are never used to train any model;
- Your use of those models is also subject to OpenRouter's terms and the applicable model provider's terms and acceptable use policies, which we'll make reasonably available to you;
- We don't control, and aren't responsible for, the availability, accuracy, or output of any third-party model, or any outage, rate limit, or policy change on OpenRouter's or a model provider's side; and
- If a provider discontinues a model or changes its terms, we may substitute a comparable model to keep the Services running.
6. Subscriptions, fees, and billing
Keli offers a free plan and paid subscription plans, described on our pricing page. If you subscribe to a paid plan:
- Billing. You authorize us (or our payment processor) to charge your payment method on a recurring basis until you cancel.
- Usage limits and fallback. Paid plans include a set amount of premium model usage. When you reach your limit, Keli automatically switches you to a free model so you can keep working; premium access resumes on your next billing cycle.
- Cancellation. You can cancel anytime from your account settings. Cancellation takes effect at the end of your current billing period, and you won't be charged again after that. Fees already paid are non-refundable except where required by law.
- Price changes. We'll give you reasonable advance notice before any price increase takes effect on your subscription.
7. Software and updates
We may automatically update the Keli desktop app to deliver new features, fixes, or security patches. Some updates may be required to continue using the Services.
8. Third-party services and links
The Services may link to or integrate with third-party services, including OpenRouter and the model providers it connects to. We don't control and aren't responsible for third-party services, and your use of them is at your own risk and subject to their own terms and privacy policies.
9. Disclaimers and limitation of liability
THE SERVICES AND ANY OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, KELI AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES OR ANY OUTPUT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE SIX MONTHS BEFORE THE CLAIM AROSE.
10. Termination
You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you violate these Terms, misuse the Services, or if required by law. If we terminate a paid subscription for reasons other than your breach, we'll refund the unused, pro-rated portion of your current billing period.
11. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll update the effective date above and, where appropriate, notify you directly. Continued use of the Services after changes take effect means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, unless a mandatory law in your jurisdiction requires otherwise.
